Ordinance on the Establishment and Supporting Management of Busan Design Center

  • Article 1(Purpose)
  • The purpose of this Ordinance is to prescribe such matters as the establishment andsupporting management of the incorporated foundation, Busan Design Center (hereinafter referred to as the "Design Center"), to foster and support the regional design industry so as to contribute to the development of regional economy.
  • Article 2(Establishment)
  • The Design Center shall be established as an incorporated foundation under Article 32 of the Civil law.
  • Article 3(Business)
  • The Design Center shall conduct the following business activities.
    • 1. Promoting the design industry and conducting regional businesses specialized in design
    • 2. Supporting design development of enterprises
    • 3. Joint research and development on design
    • 4. Education and training of design workforce
    • 5. Collecting and providing information on design
    • 6. Fostering new design technology and supporting establishment of new businesses
    • 7. Utilizing and supporting design equipments and facilities
    • 8. Fostering and supporting the design industry in South-Eastern Area.
    • 9. Supporting research and development of textile and fashion
    • 10. Other businesses stipulated in the bylaw designed to fulfill the purpose of the Design Center
  • Article 4(Assets) assets of the Design Centershall be raised through the following sources
    • 1. Contribution of the Central Government and Busan Metropolitan City(hereinafter referred to as "City")
    • 2. Other profits, etc.
  • (2)The Mayor of Busan Metropolitan City(hereinafter referred to as the "Mayor") may provide contribution and subsidy within the budget limit in order to support the establishment and management of the Design Center.
  • Article 5(Bylaw) (1)The bylaw of the Design Center shall include matters stipulated in the following subparagraphs other than those stipulated in Article 40, from Subparagraph 1 to Subparagraph 5 of the Civil Law
    • 1. Matters concerning the composition and management of the board of directors
    • 2. Matters concerning relevant business activities
    • 3. Matters concerning financial and accounting affairs
    • 4. Matters concerning the public notification and the method to be used
    • 5. Matters concerning the change of thebylaw
    • 6. Matters concerning the organization and number of members
    • 7. Matters concerning the officers and staffs
    • 8. Matters concerning the dissolution of the Design Center.
    • 9. Other matters necessary for the management of the Design Center
  • (2)When matters in the bylaw are to be changed there shall be an agreement with the Mayor in advance before applying for the change to the competent authorities.
  • Article 6(Officers and the Board of Directors) (1)Officers shall consist of no more than 2 auditors and no more than 13 directors including one chairman and one president. The term and electing method of the officers shall be provided in the bylaw.
  • (2)The board of directors shall deliberate and decide on important matters concerning the management of the Design Center
  • (3)The Deputy Mayor for Administrative Affairs of the City shall be the chairman and the chief of the board of directors
  • (4)The president shall represent the Design Center while taking charge of the management and controlling all business activities.
  • Article 7(Business Entrustment)
  • The Mayor may entrust certain activities and facilities of the City for fostering design industry to the Design Center.
  • Article 8(Submission of Work Plan and Settlement of Accounts, etc) (1)The Design Center shall submit a work plan and a budget for each business year and obtain the approval of the Mayor by one month before the start of each business year. The same shall apply when changes are to be made.
  • (2)The Design Center shall submit a statement of accounts that captures the revenues and expenses of each business year and submit it to the Mayor within two months after the end of each business year after having it audited by a certified public accountant.

  • Article 9(Profitable Business)
  • The Design Center may operate profitable businesses according to the bylaw within the purpose of establishment.
  • Article 10(Guidance and Supervision) (1)The Mayor may guide and supervise matters concerning the business, accounts and assets of the Design Center and request a report on necessary matters or the submission of relevant documents.
  • (2)The Mayor may request a correction or take necessary measures when the examination result pursuant to Paragraph 1 turns out to be either illegal or unfair.
